1. Introduction

These Terms of Service ("Terms") govern your use of the website aerele.in ("Website") and your engagement of services provided by Aerele Technologies Pvt Ltd ("Aerele", "we", "us", "our"), a company registered in India with its principal office in Tiruppur, Tamil Nadu.

By accessing our Website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our Website or services.

2. Services

Aerele provides software development services including but not limited to:

  • Custom application development on the Frappe framework and ERPNext
  • System integration and API development
  • Technical support and maintenance services
  • Code review, performance optimization, and consulting
  • Data processing services on behalf of clients

Specific terms for individual engagements are governed by separate service agreements, statements of work, or engagement letters between Aerele and the client.

3. Engagement Models

We offer services through three primary engagement models:

  • Hourly: Billed per hour of work performed. Subject to team availability.
  • Dedicated Resource: Full-time developer allocated to client's project. Minimum quarterly (3-month) commitment. Billed per working day.
  • Development Sprint: Fixed-scope engagement with defined deliverables. Billed per sprint cycle.

All pricing is exclusive of applicable taxes. Specific rates and payment terms are detailed in individual service agreements.

4. Intellectual Property

Client work: Unless otherwise agreed in writing, all intellectual property created by Aerele in the course of performing services for a client shall vest in the client upon full payment for such services. This includes custom code, configurations, documentation, and deliverables.

Open-source contributions: Aerele contributes to open-source projects (e.g., ERPNext, Frappe Framework). Such contributions are governed by the respective open-source licenses and are not proprietary to any client.

Aerele's pre-existing IP: Any tools, libraries, frameworks, or methodologies owned by Aerele prior to or independently of client engagements remain Aerele's property. Where such IP is incorporated into client deliverables, the client receives a perpetual, non-exclusive license to use it.

Website content: All content on the Aerele website (text, design, logos, images) is the property of Aerele Technologies Pvt Ltd and may not be reproduced without permission.

5. Confidentiality

Aerele treats all client information as confidential. We will not disclose client data, business information, or proprietary details to third parties without consent, except as required by law or as necessary to perform our contracted services (e.g., with sub-processors bound by equivalent confidentiality obligations).

All Aerele team members are bound by confidentiality agreements.

6. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws including the GDPR and India's DPDPA. Where we process data on behalf of clients, we do so under a Data Processing Agreement.

7. Warranties and Disclaimers

Services: We will perform services with reasonable skill and care, consistent with industry standards. Specific warranties for deliverables are detailed in individual service agreements.

Website: This Website and its content are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Aerele's total liability under any engagement shall not exceed the fees paid by the client for the specific services giving rise to the claim in the 12 months preceding the claim.
  • Aerele shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

Nothing in these Terms excludes liability for fraud, willful misconduct, or any liability that cannot be excluded by law.

9. Termination

Either party may terminate an engagement in accordance with the terms of the applicable service agreement. Upon termination:

  • Client shall pay for all services rendered up to the date of termination
  • Aerele shall deliver all completed work and work-in-progress to the client
  • Aerele shall delete or return client data as directed, in accordance with our Data Processing Agreement

10. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Tiruppur, Tamil Nadu, India.

We encourage resolution of disputes through good-faith negotiation before resorting to formal proceedings.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date. Continued use of our Website or services after changes constitutes acceptance of the updated Terms.
